SANTA ROSA BABE RUTH LEAGUE, INCORPORATED
CONSTITUTION
Article I – Name
This organization shall be known to all
and referred to as Santa Rosa Babe Ruth League, Incorporated.
Article II – Objective
The purpose for which this league is
organized is to develop and operate a baseball program in affiliation
with Babe Ruth League, Incorporated, a New Jersey corporation, in
conformity with and pursuant to principles, rules and regulations
outlined by said Babe Ruth League, Incorporated. In conjunction with
such purposes, the objective of this league is that, through the medium
of a supervised, competitive baseball program, guided and governed by
said Babe Ruth Baseball League, Incorporated this league will seek to
implant in the youth of the community ideals of good sportsmanship,
honesty, loyalty, courage, and reverence, so that they may be finer,
stronger, and happier youth who will grow to be good, clean, healthy
adults.
Article III – Statement of Affiliation
This league shall be affiliated with Babe
Ruth League, Incorporated, a new Jersey corporations and shall be
governed by and shall comply with the principles, rules and regulations
outlined and decreed by Babe Ruth League, Incorporated. The fall league
fundraiser will permit recruitment of players from a wider geographical
area not currently permitted under the Babe Ruth League, Incorporated
charter. All other league rules and regulations, as well as managers’
handbook and local league rules will remain in effect during the fall
season.
Article IV – Sites of Principle
Operations
The principal operations of this league
shall be in and about the City of Santa Rosa, County of Sonoma, State of
California, but may extend into such areas as provided for by State,
Regional and National Headquarters rules and regulations.
Article V – Powers
This league shall have the following
powers in addition to the powers expressly or implicitly conferred on it
by law:
To make and enforce rules and regulations
to govern itself on a local basis, consistent with and not contrary to
any rules and regulations promulgated by Babe Ruth League, Incorporated.
Article VI – Membership
No member shall be discriminated against
because of race, color, creed, sex, or religion. Requirements for
membership in the league and the privileges of membership shall be:
1.
Members of this league shall consist of elected board members,
players, parents/guardians, managers and coaches.
2.
Directors of the league reserve the right to evaluate, suspend,
terminate, and/or refuse an individuals membership, application or
status.
3. Players
placed on a spring team will remain on that specific team roster for the
duration of their
eligibility within the age group assigned. Player transfers may be
considered on a case by case
basis by the board of directors. The criteria for entertaining a
transfer shall consist of a
documented conflict between the player and Manager or coach(s). In the
event a player leaves
their team during the season they must sit out one season prior to being
allowed to be recruited
onto another team. This prevents players from transferring from team to
team which would be
detrimental to the league.
4. All returning and new players shall
register for the current season during the publicized
registration dates. Any registration after
the published dates but before the draft is on an
as space allows basis and may be subject
to and required to pay a late fee, determined by the
board of directors and published annually.
5. Any player missing the regular
registration period, must register no later than 72 hours before
draft time to assure placement to previous team
(late fees apply).
6. Any player missing the 72 hour
registration period will be placed on a team as space allows. All
All Babe Ruth rules
apply.
7. Members of the league including
parents, players, and board members may provide goods and
services at a reasonable and customary charge to the league. If services
are provided such as
landscaping, painting, plumbing, electrical, etc, the providers will be
paid at the prevailing wage,
or upon negotiation, less than the prevailing wage or the services may
be donated to the league.
8. Members of this league recognize that
this league is governed by a group of volunteer board of
directors that to the
best of their knowledge manager this league with the best interest of
its
members. Members
agree to release from liability any board member, manager, coach, or
other
volunteers of
this league for error or oversights in managing this league.
9. Actions by any member of this league
which results in a harmful, negative or otherwise hurtful
impact to this league will result in that member's immediate revocation
of membership, and said
member will be banned from further involvement in league activities.
Article VII – Directors
1.
The voting members of the board of directors of Santa Rosa Babe
Ruth League, Incorporated shall be:
President, Vice-President, Player
Agent, Secretary, Treasurer, Field Manager, Director of
Communications, Equipment Manager, Concessions Chair, Concessions
Scheduler, Fundraising Coordinator and Members at Large.
2.
The executive board of directors shall be:
President, Vice-President, Player
Agent, Secretary and Treasurer.
3.
Eligibility for each office shall be the same as “membership in
the league” and holding office of one of the privileges of membership.
4.
The executive board will be enacted to discuss and vote on
matters that require immediate resolution.
5.
In November of each year, a slate of officers will be prepared by
the board for the coming year. League members interested in serving on
the board, shall submit a letter of interest to the leagues post office
box prior to the November board meeting. Such letter should state their
qualifications, experience, and reasons for seeking office. When an
office is vacated during the year, the board will seek a replacement
within 60 days.
6.
Term of office for the executive board shall be 2 years. All
other board members shall be on year, unless such officer voluntarily
resigns or is removed from office by a majority vote of the
officers/directors. Office terms may be extended by special vote of the
board of directors.
7.
Provisions for filling vacancies on the board of directors shall
be:

Interested candidates shall
submit a letter of interest stating their qualifications, experience,
and reasons for seeking office.

Voting directors shall
consider and evaluate each candidate’s qualifications.
·
The appointment of office
may be filled by a majority vote of the directors, providing a quorum is
present.
Article VIII – Standing Committees
Directors may form temporary committees
to improve the status of the league. A standing committee’s creation
and action shall be established by vote of directors.
Article IX – Meeting and Quorum
1.
Regular meetings: Regular meetings are held once monthly
throughout the year. Meeting dates shall be scheduled to assure maximum
participation of league directors. Any director missing two
consecutive meetings will be removed by a vote of the current members.
Regular meeting are open to the public. Members of the league or anyone
wishing to address the board at a meeting should contact the board prior
to the meeting to be put on the agenda.
2.
Special meetings: A director may call special meetings at any
time with a one-week advance notice. However, if a quorum can be met,
then a special meeting may be held immediately. Special meetings may
not be open to the public at the discretion of the board of directors.
3. Disciplinary meeting: Disciplinary
meetings may not be open to the pubic at the discretion of the
board. However, the
party on whose behalf the meeting is held may, at their option, have
representation
present to speak on his/her behalf. Representation will be given time to
skeak to
the board and
then be excused from the meeting in order for the directors to continue
the meeting.
4. Quorum: e A quorum shall be
designated as 50% + 1 (fifty percent plus one) of current board
members.
Article X – Amendment
Amendments to this constitution shall be
discussed at board meetings. Amendments shall require majority approval
by league directors. Every director shall vote for each proposed
amendment, which shall then become part of the constitution if passed.
